POWA Constitution 6.1 Revision & SGM

Last Sunday, May 28th POWA voted in a new Constitution to submit to the West Australian government and start the process of becoming an incorporated entity. Our case worker within the government has sent back a small number of changes needed to ensure our incorporation.

In order for members to vote on these changes, the POWA committee will be calling an SGM. The SGM will take place on June 18th, during POWA’s regular screening and members will be asked to vote for or against the proposed changes. You must have an active POWA membership to vote on these changes.

The changes are as follows:

  • – A new rule, Rule 37 ‘Payments to Committee Members’ has been added:
    • “A committee member is not entitled to be paid out of the funds of POWA, unless it pertains to the situations covered in subrule 2.3.”
  • – Subrule 43.2. (44.2. in v6.1) has been altered:
    • The version in 6.0:
      “It is recommended that an annual general meeting must take place no more than 3 months after the end of POWA’s financial year – October 31st.
      If, for whatever reason, the annual general meeting is proposed to be held more than 6 months after the end of the POWA’s financial year, the committee must apply to the Commissioner for Consumer Protection for permission under section 50 of the Associations Incorporation Act 2015 within 4 months after the end of the financial year.”
    • The version in 6.1:
      “If, for whatever reason, the annual general meeting is proposed to be held more than 6 months after the end of the POWA’s financial year, the committee must apply to the Commissioner for Consumer Protection for permission under section 50 of the Associations Incorporation Act 2015 within 4 months after the end of the financial year.”
  • – Subrule 44.2. (45.2. in v6.1) has been altered:
    • The version in 6.0:
      “The committee must convene a special general meeting if at least 50% of the members request a special general meeting to be convened.”
    • The version in 6.1:
      “The committee must convene a special general meeting if at least 20% of the members request a special general meeting to be convened.”
